Adaptive Payment Solutions, a DBA of Hay Meadows Design, LLC (“we,” “us,” or “our”), provides merchant services, payment processing solutions, and dual pricing models to businesses seeking to streamline transactions and optimize profitability. By using our services, you (“client,” “customer,” or “you”) agree to be bound by these Terms and Conditions. Please read these terms carefully to understand your rights and responsibilities as they pertain to our services.
1. Acceptance of Terms
By accessing or using our services, you agree to comply with these Terms and Conditions, as well as any additional terms we may provide in the course of service. If you do not agree to these terms, you may not use our services.
2. Services Provided
Adaptive Payment Solutions offers a range of services, including but not limited to merchant account setup, payment processing, dual pricing models, and compliance consultation. We reserve the right to modify or discontinue certain services at our discretion, with prior notice to clients where applicable.
3. User Obligations
As a client of Adaptive Payment Solutions, you agree to:
- Provide accurate, current, and complete information during the onboarding process.
- Ensure compliance with all federal, state, and local laws and regulations relevant to payment processing and merchant activities.
- Maintain the confidentiality of any login credentials or sensitive information associated with your account.
- Promptly notify us of any changes to your contact information or business operations that may affect the service.
4. Payment Terms
Adaptive Payment Solutions deducts fees directly from the proceeds of your credit card processing transactions. These fees are outlined in the specific service agreement you enter into with us. Charges will be automatically applied from your processed transactions as agreed.
5. Termination of Service
Adaptive Payment Solutions provides services on a month-to-month basis. You may cancel services at any time by providing verbal notice prior to the start of the next billing cycle. Services will continue through the current billing period, with no additional charges applied after cancellation.
We reserve the right to terminate or suspend services if:
- The client breaches any part of these Terms and Conditions.
- We determine that continued service may be detrimental to Adaptive Payment Solutions or its partners.
Since fees are deducted directly from your merchant account, outstanding balances are not expected.
6. Privacy and Data Security
We value the privacy and security of your information. Adaptive Payment Solutions adheres to all applicable data protection regulations and employs security measures to safeguard your data. Please refer to our Privacy Policy for more details on how we handle and protect your information.
7. Limitation of Liability
To the fullest extent permitted by law, Adaptive Payment Solutions, Hay Meadows Design, LLC, and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or other losses, arising from or related to your use of our services. Our liability for any direct damages shall not exceed the total fees paid by you in the six months prior to the event giving rise to the claim.
8. Dispute Resolution
In the event of a dispute, we encourage you to contact us directly to resolve the issue. If resolution cannot be reached, any disputes shall be resolved through binding arbitration in Washington State. Each party will bear its own legal fees and costs associated with the dispute resolution process.
9. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. Any legal proceedings arising from these Terms and Conditions shall take place within the jurisdiction of Washington State.
10. Changes to Terms
We reserve the right to update or modify these Terms and Conditions at any time. When significant changes are made, we will notify clients via email or an announcement on our website. Continued use of our services after such changes will constitute acceptance of the updated terms.
